1. Acceptance of Terms

Welcome to DanielaDevCorp (https://danieladevcorp.com/). By accessing our website, using our booking systems, or engaging in our software development cycles, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use of our Services.

Age Requirement: You must be 18 years or older, or have explicit parental consent, to enter into a binding agreement with us.

2. Description of Services

We provide high-fidelity software engineering and digital transformation services, including:

• Custom Development: Web, mobile, and enterprise-grade platforms.
• Consultation: Strategic planning and technical architecture design.
• Support: Maintenance and iterative updates for delivered products.

Reasonable Effort Standard: We commit to professional excellence and industry standards but do not guarantee specific business outcomes beyond the technical requirements agreed upon in writing.

3. Client Obligations

Project success depends on collaboration. Clients agree to provide:

• Accuracy: Truthful information during onboarding.
• Timeliness: Feedback within 3-5 business days to maintain velocity.
• Compliance: No use of our services for illegal activities or system exploitation.

4. Intellectual Property

Ownership: Upon final payment, the Client owns all Custom Deliverables (source code, assets, and designs) created specifically for them.

DanielaDevCorp Rights: We retain ownership of our pre-existing libraries, "Background IP," and generic methodologies. We grant you a perpetual license to use these within the deliverables.

Marketing: We may showcase your project in our portfolio unless a written confidentiality request (NDA) is in place.

5. Payment Terms

Milestone payments are required to advance project phases. Late payments may result in work suspension and schedule adjustments.

6. Confidentiality

We treat your business data as highly sensitive. We do not disclose proprietary information to third parties except as legally mandated or required for technical operations (e.g., cloud hosting providers).

7. Limitation of Liability

To the maximum extent under Philippine law, DanielaDevCorp is not liable for indirect or consequential damages. Our total liability is capped at the amount paid by the Client in the 3 months preceding any claim.

8. Dispute Resolution

Conflicts shall first be addressed through 30 days of good-faith negotiation. Unresolved disputes shall be settled via binding arbitration in the Republic of the Philippines.
